<h2>MoyoDesk Platform — Terms and Conditions</h2> <p><strong>Version 2026.04.1 — Effective from April 21, 2026</strong></p> <h3>1. Acceptance of Terms</h3> <p>By registering an account, subscribing to a service, or otherwise using MoyoDesk ("the Platform", "we", "our"), you ("the Customer", "you") agree to be bound by these Terms and Conditions, our Privacy Policy and our Data Processing Agreement. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.</p> <h3>2. Services Provided</h3> <p>MoyoDesk provides a multi-service SaaS platform including but not limited to:</p> <ul> <li><strong>BolMaat</strong> — Bol.com retailer integration and management</li> <li><strong>AmazonMaat</strong> — Amazon Seller Central management</li> <li><strong>WhatsapperMaat</strong> — WhatsApp Business messaging and ticketing</li> <li><strong>MailerMaat</strong> — Email campaign management and inbox</li> <li><strong>PicqerMaat</strong> — Picqer WMS integration</li> <li><strong>AI-Powered Ticketing</strong> — Automated customer support across channels</li> </ul> <h3>3. Subscription, Billing and Trial</h3> <p>3.1. All paid subscriptions include a 14-day free trial from the date of activation, during which you may cancel at any time without charge.</p> <p>3.2. After the trial period ends, the subscription automatically renews according to the selected billing cycle (monthly, quarterly, four-monthly, biannual, or annual).</p> <p>3.3. Subscriptions have a base annual validity of twelve (12) months unless otherwise set by Super Admin.</p> <p>3.4. <strong>Mid-year Cancellation:</strong> If you cancel your subscription after the 14-day trial window and before the completion of the annual term, the remaining annual amount for the subscription will be automatically deducted from your payment method. This reflects a good-faith annual commitment.</p> <p>3.5. Prices are inclusive of applicable Dutch VAT (21%) unless otherwise indicated.</p> <p>3.6. Discount rates for longer billing cycles are as advertised on the offers page at the time of subscription.</p> <h3>4. Payment Terms</h3> <p>4.1. You authorize MoyoDesk and its payment processor (Mollie, SEPA, or credit card gateway) to charge the amount due to your designated payment method.</p> <p>4.2. Invoices are issued at the start of each billing period and payable within fourteen (14) days.</p> <p>4.3. Overdue accounts may be suspended without notice after fourteen (14) days.</p> <p>4.4. Refunds are granted at Super Admin discretion, in accordance with Dutch consumer law and EU Distance Selling regulations.</p> <h3>5. Customer Obligations</h3> <p>5.1. You shall provide accurate, complete registration information and keep it current.</p> <p>5.2. You are solely responsible for the confidentiality of your login credentials and API keys.</p> <p>5.3. You will not misuse the Platform, reverse-engineer the software, or attempt to circumvent security or rate limits.</p> <p>5.4. You will comply with all applicable laws (GDPR, Dutch law, EU regulations) when processing data through the Platform.</p> <h3>6. Data Processing and GDPR</h3> <p>6.1. MoyoDesk acts as a Data Processor for Customer Data. Customer is the Data Controller.</p> <p>6.2. All data is hosted within the European Union.</p> <p>6.3. We process personal data in accordance with our Privacy Policy and Data Processing Agreement.</p> <p>6.4. You have the right to export your data at any time through the Platform.</p> <p>6.5. Upon termination, your data will be retained for 30 days then permanently deleted unless legally required otherwise.</p> <h3>7. AI Service Usage</h3> <p>7.1. AI-powered features (chatbots, auto-replies, suggestions) are provided via third-party language model providers.</p> <p>7.2. AI responses are generated algorithmically; MoyoDesk does not guarantee accuracy and is not liable for AI output.</p> <p>7.3. You are responsible for reviewing AI-generated customer replies before activation.</p> <p>7.4. AI queries may be subject to per-plan quotas; overage may be billed or throttled.</p> <p>7.5. Prompt injection, attempts to extract system prompts, or abuse of AI features may result in suspension.</p> <h3>8. Intellectual Property</h3> <p>8.1. The Platform, software, branding, and documentation remain the property of MoyoDesk B.V.</p> <p>8.2. You retain all rights to your Customer Data. You grant MoyoDesk a limited license to process this data solely to provide the Services.</p> <h3>9. Limitation of Liability</h3> <p>9.1. To the maximum extent permitted by law, MoyoDesk's total liability is limited to the amounts paid by Customer in the twelve (12) months preceding the claim.</p> <p>9.2. We are not liable for indirect, incidental, consequential, or punitive damages.</p> <p>9.3. We are not liable for interruptions, bugs, or data losses caused by third-party services (Bol.com, Amazon, Picqer, WhatsApp, email providers).</p> <h3>10. Service Availability</h3> <p>10.1. We strive for 99.9% uptime but do not guarantee uninterrupted availability.</p> <p>10.2. Scheduled maintenance will be communicated in advance where possible.</p> <h3>11. Termination</h3> <p>11.1. Either party may terminate with 30 days' written notice at the end of the annual term.</p> <p>11.2. We may terminate immediately for breach of these Terms, non-payment, or illegal use.</p> <p>11.3. Sections relating to payment, IP, liability and data handling survive termination.</p> <h3>12. Referral Program</h3> <p>12.1. Referral codes may provide discounts, trial extensions, or other benefits as specified.</p> <p>12.2. Referral benefits are non-transferable and subject to eligibility.</p> <p>12.3. Fraudulent referrals result in benefit revocation and possible account termination.</p> <h3>13. Changes to These Terms</h3> <p>13.1. We may update these Terms from time to time. Material changes require reacceptance.</p> <p>13.2. Continued use after an update constitutes acceptance of the revised Terms.</p> <h3>14. Governing Law and Jurisdiction</h3> <p>14.1. These Terms are governed by the laws of the Netherlands.</p> <p>14.2. Any disputes shall be submitted to the exclusive jurisdiction of the courts of Amsterdam, Netherlands.</p> <h3>15.
